1. Agreement
These Terms & Conditions (“Terms”) form a binding agreement between you and MSP Groups, which operates KOORMEX (“we”, “us”). By creating an account or using the website or app you accept these Terms and our Privacy Policy. If you use KOORMEX for a business, you confirm you are authorised to bind that business.
2. The service
KOORMEX lets you connect your business systems and create AI employees that perform tasks such as inventory follow-ups, collections reminders, support replies, voice-call handling, social-media posting and WhatsApp follow-ups. Features, limits and integrations may change as the product evolves.
3. Accounts
- Provide accurate information and keep it up to date. You must be at least 18.
- Keep your credentials confidential and tell us promptly of any unauthorised use. You are responsible for activity under your account.
- One person or business per account unless we agree otherwise.
4. Connected accounts and third-party platforms
You may connect third-party services such as Facebook, Instagram, WhatsApp, Gmail, Slack and your own ERP or APIs. You authorise KOORMEX to act on those accounts on your behalf within the permissions you grant and the autonomy level you set. You are responsible for holding the rights to those accounts and for complying with each platform’s terms, including the Meta Platform Terms, Meta Community Standards, Instagram Terms of Use and the WhatsApp Business and Commerce Policies. Third-party platforms may change or restrict access at any time, and we are not responsible for their availability or decisions.
5. Your responsibilities for content and messaging
- You own your content and grant us a limited licence to host, process and transmit it only to provide the service.
- You are the sender of anything your AI employees publish or send. Review your autonomy settings, and review AI output where accuracy matters — AI-generated content can contain mistakes.
- For WhatsApp, message only people who have opted in as the WhatsApp Business Policy requires, use approved templates outside the 24-hour window, and honour opt-outs.
- You will not use KOORMEX to send spam, to harass, to post unlawful, deceptive, infringing, hateful or adult content, to run scams, or to violate any person’s privacy.
6. Acceptable use
You must not: reverse-engineer or scrape the service; bypass limits or security; introduce malware; resell the service without our written consent; use it to build a competing product; or use it in a way that could cause a platform provider to restrict us or other users. We may suspend or terminate accounts that breach these Terms.
7. Fees and payment
KOORMEX is priced per AI employee per month, with some AI employees free, as shown on our pricing section at the time you subscribe. Prices are in INR or USD and exclude applicable taxes such as GST. Fees are billed in advance for each billing period through our payment processor, and paid plans renew automatically until cancelled. We will give at least 30 days’ notice of price changes. Refunds are governed by our Refund Policy.
8. Cancellation
You can cancel at any time from your account settings; access continues until the end of the paid period. You can delete your account and data as described in our Data Deletion page.
9. Intellectual property
KOORMEX, its software, branding and documentation belong to us and our licensors. Except for the limited right to use the service under these Terms, no rights are transferred. Feedback you give us may be used without obligation to you.
10. Confidentiality and data protection
We protect your business data with reasonable technical and organisational measures and process personal data under our Privacy Policy. Where you use KOORMEX to process your customers’ personal data, you are responsible for having a lawful basis and notices in place.
11. Disclaimers
The service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, including fitness for a particular purpose, uninterrupted or error-free operation, and the accuracy of AI-generated output.
12. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental or consequential loss, loss of profits, data or goodwill, or for losses caused by third-party platforms. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose.
13. Indemnity
You will indemnify us against claims arising from your content, your messaging, your breach of these Terms, or your breach of a third-party platform’s rules.
14. Suspension and termination
We may suspend or end access if you breach these Terms, if required by a platform or by law, or to protect the service. On termination your right to use KOORMEX stops and your data is handled as set out in the Privacy Policy.
15. Changes to these Terms
We may update these Terms. We will change the date above and, for material changes, give notice. Continued use after the effective date means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of India. Courts at Perambalur, Tamil Nadu, have exclusive jurisdiction, subject to any mandatory consumer rights. We encourage you to contact us first at support@koormex.com so we can try to resolve the matter informally.
